DIAGNOS, in a strategic move, is divesting its Mining Division to focus on detection of critical health issues through the use of its Artificial Intelligence platform

BROSSARD, QUEBEC–(Marketwired – March 15, 2017) – Diagnos Inc. (“DIAGNOS” or “the Corporation”) (TSX VENTURE:ADK), a leader in early detection of critical health issues through the use of Artificial Intelligence (“AI”), announces today the signing of an agreement, for total value of $800,000, for the sale of the assets from the mining division to Majescor Resources Inc (“Majescor”) (TSX VENTURE:MJX).

Under the terms of the agreement, on or before March 31st, 2017, Majescor will issue 8,000,000 common shares of its share capital to DIAGNOS, at a deemed price of $0.10 per share, in payment for the assets acquired. Additionally, Majescor will remit to DIAGNOS (i) 50% of any payment that Majescor receives from the royalty agreements forming part of the acquired assets, and (ii) 5% of revenues generated by the commercialization of the CARDS System.
