Gibsons Announces Pricing of Senior Unsecured Notes

CALGARY, ALBERTA–(Marketwired – March 8, 2017) –

Gibson Energy Inc. (“Gibsons” or the “Company”) (TSX:GEI) announced today that it has agreed to issue and sell CDN $350 million aggregate principal amount of 5.25%, senior unsecured notes due July 15, 2024 (the “Notes”), on an exempt private placement basis (the “Private Placement”). The Notes will be issued at par and interest thereupon will be payable semi-annually in arrears beginning July 15, 2017. The Notes will be issued under a new indenture. The Private Placement is expected to close on or about March 22, 2017, subject to customary closing conditions.

Gibsons has also announced a cash tender offer to purchase any and all of its outstanding Canadian dollar denominated 7.0% senior unsecured notes due 2020 and a portion of its U.S. dollar denominated 6.75% senior unsecured notes.

Gibsons intends to utilize the net proceeds from the Private Placement, along with a portion of the net proceeds from the previously announced sale of its Industrial Propane Business, to fund the tender offer.

The Notes have not been and will not be registered under the United States Securities Act of 1933, as amended (the “Securities Act”), or applicable state securities laws, and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state securities laws. The Notes have not been and will not be qualified for sale to the public under applicable Canadian securities laws and, accordingly, any offer and sale of the Notes in Canada will be made on a basis which is exempt from the prospectus requirements of such securities laws.
